1. Scope and Subject Matter of the Contract
These General Terms and Conditions (GTC) govern all contracts and business relationships between the joint-stock company Swiss China Link AG (hereinafter "SCL") and its customers or partners.
Our GTC apply to all products and services offered by SCL, including the sale of products, conducting courses, events, as well as service and consulting services. They form the basis for every transaction or interaction between SCL and its customers or partners.
2. Acceptance of the GTC
By using our services or purchasing our products, customers and partners agree to these General Terms and Conditions (GTC). By availing of our offers, our customers and partners agree to our GTC.
3. Changes to the GTC
SCL reserves the right to change these General Terms and Conditions (GTC) at any time. The current version of the GTC, active and published on happydumpling.ch at the time of ordering, is considered authoritative.

4. Offer
The listed products and services, along with their prices, constitute an offer. This offer is accepted by a customer's order in oral, written, or electronic form.
5. Scope of Offer and Price Adjustments
SCL reserves the right to temporarily or permanently adjust, interrupt, or terminate the scope of the offer and prices, with or without notice to the customer or partner. The prices published or specifically agreed upon at the time of ordering on the website happydumpling.ch apply to orders. SCL assumes no liability for any impacts of adjustments to the offer and prices on the customer or partner.
6. Availability of our Services and Offers
We strive to ensure the best possible availability of our services and products. However, we cannot guarantee specific timeframes for availability, whether for products, accessibility via email, phone, and website, or conducting events and courses.
7. Mistakenly Published Prices
If prices are mistakenly published, SCL reserves the right to arrange a price correction or cancel the order with the customer or partner. SCL also reserves the right to refuse or cancel an offer.
8. Conclusion of Contract
A contract is concluded by the acceptance of an order by SCL, be it oral, written, or electronic. The confirmation of the order by SCL is considered a binding conclusion of the contract.
9. Invoicing and Payment Terms
Invoices are prepared according to the prices valid at the time of ordering. Payments are due within 30 days after invoicing without deduction unless otherwise agreed in writing. SCL reserves the right to accept or reject reasonable payment methods. In case of payment default, SCL reserves the right to charge default interest according to legal regulations.
10. Retention of Title
The products ordered by the customer or partner remain the property of SCL until full payment of the invoice amount.
11. Cancellation Conditions
Cancellations of orders must be made immediately by phone or through the designated communication channel. SCL reserves the right to charge fees for costs already incurred if the cancellation occurs after order confirmation.
12. Delivery
Depending on the distance, time, and scope of the order, SCL offers a delivery service to the customer or partner. The customer or partner is obliged to accept the goods at the agreed time and delivery location. After the products are handed over, it is the responsibility of the customer or partner to store them according to the recommendations. SCL assumes no liability for losses, quality reductions, or perishable products due to the neglect of this duty by the customer or partner.
13. Customer or Partner Information
The customer or partner undertakes to provide truthful, accurate, current, and complete information about themselves when ordering. SCL disclaims all liability for losses or damages due to incomplete or incorrect information provided by the customer or partner. We reserve the right to exclude individuals or companies from our offer who do not comply with our GTC.

In the case of slight negligence, we are only liable for the breach of essential contractual obligations that fundamentally enable proper contract fulfillment and on whose compliance the customer or partner regularly relies (cardinal obligations). In such cases, our liability is limited to the foreseeable, typical damage. We do not accept liability for lost profits, indirect, or consequential damages in case of slight negligence. The customer or partner explicitly states that the use of SCL's offers and services is at their own risk. SCL is not liable for force majeure events such as failure of telephone or internet connections, governmental measures, unforeseeable delivery failures, machinery breakdowns, transportation means, energy, or other unavoidable events, even if these events occur with SCL's employees or partners.
19. Returns, Exchanges, and Return Rules
Due to the nature of our products, especially food items, we cannot accept returns or exchanges of these items for safety and hygiene reasons unless the company has made an error or the product has a defect or flaw.
20. Defective Products or Company Errors
If a delivered product is defective or we have made an error, please promptly contact our customer service. We will examine the situation and offer a solution if necessary.
21. Exceptions
In accordance with applicable consumer protection laws, we reserve the right to make exceptions under certain conditions if provided by law. However, exceptions cannot be granted for the return or exchange of food items that cannot be taken back due to health or hygiene reasons. We ask for your understanding of this rule, aimed at ensuring the health and safety of our customers or partners.
22. Language and Jurisdiction
The GTC of Swiss China Link AG were originally written in German and translated into other languages for our customers or partners. In case of discrepancies or contradictions, the GTC in the German language shall prevail. Zurich in the Canton of Zurich, Switzerland, is the place of jurisdiction for disputes arising from the application of the GTC.
